1. Acceptance of Terms

By accessing or using xTalent (the Service), you agree to be bound by these Terms of Service. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

xTalent is a software-as-a-service recruiting platform that provides organizations with tools for managing job requisitions, candidate pipelines, interview processes, and career page publishing.

3. Accounts and Registration

You must create an account to access most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must provide accurate and complete information and keep it up to date.

4. Acceptable Use

You agree not to:

We reserve the right, but have no obligation, to review, reject, or remove any customer-generated content (including job postings, custom application forms, and career pages) that violates these Terms, poses a security risk, or is deemed fraudulent, spam, or harmful to our business reputation, at our sole discretion.

• Use the Service for any unlawful purpose
• Upload malicious code or harmful content
• Attempt unauthorized access to any part of the Service
• Store or process discriminatory hiring criteria in violation of employment law
• Resell or sublicense access without written permission

5. Data and Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference.

As a data controller for candidate data, you are responsible for having the necessary legal basis and complying with applicable data protection laws.

6. Intellectual Property

The Service and its original content, features, and functionality remain the exclusive property of xTalent and its licensors.

You retain ownership of content you upload and grant xTalent a limited license to process and store it to provide the Service.

7. Payment and Billing

Paid plans are billed in advance monthly or annually. Fees are non-refundable except as required by law or explicitly stated in our Refund Policy.

We may modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

8. Disclaimer of Warranties

The Service is provided on an 'AS IS' and 'AS AVAILABLE' basis. xTalent makes no specific warranties or representations about the Service, its reliability, availability, or suitability for your hiring needs. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, xTalent shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from use of or inability to use the Service.

10. Third-Party Services and Integrations

The Service integrates with third-party platforms, APIs, and applications (including Google Workspace, job boards, and email delivery providers). xTalent does not control these third-party services and is not liable for their availability, uptime, data policies, or modifications. If a third-party provider changes their API, revokes access, or alters their terms, xTalent reserves the right to modify or discontinue the corresponding integration without liability or refund.

11. Artificial Intelligence Features

xTalent utilizes artificial intelligence (AI) technologies to assist with resume parsing, data structuring, and text generation. AI outputs are generated automatically and are provided for informational convenience only. xTalent does not guarantee the accuracy, completeness, or unbiased nature of AI-generated content. You are solely responsible for verifying all AI outputs and for making all final hiring, employment, and legal decisions.

12. Termination

We may terminate or suspend access immediately for conduct that violates these Terms or is harmful to users, us, or third parties.

You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ukraine.

14. Changes to Terms

We may modify these Terms at any time and will provide at least 30 days' notice of material changes. Continued use after changes become effective constitutes acceptance.
